1.1 Corporate Profile
Incorporated in 1924, BMT is among the pioneer companies listed on the main board of the Singapore Exchange (“SGX”) and also the only listed trust company in Singapore

1.2 Core Services
BMT is a one-stop provider of a comprehensive suite of professional trustee and advisory services to individuals and corporations, guided by regulations set out in the Trustees Act, Trust Companies Act, Securities and Futures Act and other relevant ancillary rules and regulations governing the trust industry.

With extensive experience in both corporate and family trustee and advisory services, BMT reaches out to a wide cross-section of families and individuals with its customized services in estate planning, execution / administration of wills, rent collection and property management, custodial services (for Accredited / Expert / Institutional Investors and Exempt Funds) and other trusted services.

BMT also provides professional services to corporations in matters pertaining to debentures; unit trust funds; REITs; collective investment schemes; custodial services for clubs, associations and religious organizations; defined contribution plans (DCP) / master trusts and other fiduciary services including administration and registrar services to funds.

1.3.1 Board of Directors

Profile
Mr Cecil Vivian Richard Wong, Chairman
Mr Cecil Vivian Richard Wong was appointed to BMT’s Board of Directors in February 1979 and is currently the Chairman of the Board of Directors and the Audit Committee, both positions of which he has held since August 1995. Mr Wong is also the Chairman of Bukit Sembawang Estates Limited, a listed property developer, and is a Director of several listed and unlisted companies. Mr Wong graduated from Cambridge University in 1949 and is a Fellow of the Institute if Charted Accountants in England and Wales, and a member of the Institute of Certified Public Accountants of Singapore. He is a Honorary Senior Consultant with Ernst & Young LLP having served with this prestigious firm from 1971 until his retirement in 1985.

Mr Colin Lee Yung-Shih, Director
Mr Colin Lee Yung-Shih was appointed to BMT’s Board of Directors in February 1994. He is also a member of the Company’s Audit Committee. Mr Lee is the Managing Director of Chartered Asset Management Pte Ltd and holds a Bachelors degree in Science.

Mr Peter Sim Swee Yam, Director
Mr Peter Sim Swee Yam was appointed to BMT’s Board of Directors in March 1997. He is also a member of the Company’s Audit Committee. The Precedent Partner of Sim & Wong LLC, he is also the Director of several listed and unlisted companies. Mr Sim holds a Bachelors degree in Law (Hons) and was called to the Singapore Bar in 1981.

Mr Peter Yeoh Ban Aik, Director
Mr Peter Yeoh Ban Aik was appointed to BMT’s Board of Directors in June 2001. He is Senior Vice President for the Oversea-Chinese Banking Corporation Limited (“OCBC”) and has been in the accounting and banking industry for more than 20 years. Mr Yeoh is also the OCBC Group Company Secretary. Mr Yeoh holds a Bachelors degree in Commerce and is a qualified Chartered Accountant and Certified Public Accountant.

Mr Tan Ngiap Joo, Director
Mr Tan Ngiap Joo was appointed to BMT’s Board of Directors in November 2006. Mr Tan is the Chairman of United Engineers Limited and Banking Computer Services Private Limited. Mr Tan joined the OCBC Bank Group in August 1990 and retired as the Deputy President in December 2007. He also retired as Chief Executive Officer of Bank of Singapore Limited in 2007. Mr Tan sits on the Boards of the Banking Computer Services Private Limited, BCS Information Systems Pte Ltd, United Engineers Limited and Embassy Mapletree Trust Management Limited. Mr Tan holds a Bachelor of Arts degree from the University of Western Australia.

Principle Functions
The Principle functions of the Board, apart from its statutory responsibilities are:

i. Approving policies, strategies and direction of the Company
ii. Overseeing and monitoring managerial and organizational performance and the achievement of strategic goals and objectives;
iii. Ensuring that there are in place adequate systems of internal controls and risk management;
iv. Approving annual budget, major capital expenditures and investment proposals;
v. Approving the nominations of Board directors and appointments to the various Board committees; and
vi. Assuming responsibilities for good corporate governance practices.

1.3.2 Key Management Staff
Ms Linda Ho –Chief Executive Office, Company Secretary
Ms Linda Ho has been with BMT for more than 25 years and is highly regarded by peers and clients alike for her in-depth knowledge of Trust Law and its practical application. Ms Ho holds a Bachelor of Arts (Hons) degree and Diploma in Personnel Management.

Ms Jennie Tan – Deputy General Manager, Head of Corporate Trust
Ms Jennie Tan Siok Kim has a Bachelor of Laws (Hons) Degree and was called to Singapore Legal Bar in 1985. Prior to joining the Company, Ms Tan was practicing in Singapore as an Advocate and Solicitor. She is a member of the Singapore Academy of Law, the Singapore Trustees Association and the Singapore Institute of Management.

Ms Patricia Khoo – Finance Manager, Company Secretary
Ms Patricia Khoo Phaik Ean is a Certified Public Accountant and a Chartered Financial Analyst. Prior to joining the Company, Ms Khoo worked with a Statutory Board as Division Head (Finance). Ms Khoo holds a Bachelor of Accountancy degree and a Master of Business Administration degree.

1.4 Corporate Services
1.4.1 Debentures
On behalf of the noteholders, BMT’s roles and duties include discussions with the issuers, bankers and lawyers on covenants and provisions constituting the note issue, enforcement of compliance within the provisions of the Trust Deed and prompt payment of interest among others. Though due diligence checks on the compliance of the financial covenants of the trust deed constituting the note issue. BMT monitors to safeguard the interest of the noteholders on the payment of interest and eventual redemption of the note issue in the due date.

1.4.2 Trustee of Unit Trust Funds / REITs / Collective Investment Schemes
BMT holds in safe custody the Cash and Securities Unit Trust Funds, REITS and Collective Investment Schemes besides providing daily valuations, arranging dividend and interest collection, placement of excess funds in fixed deposits, settlement of trade transactions, monitoring the covenants and provisions in the trust deeds and other regulatory requirements. In addition, BMT also liaises with registrars, custodians, sub-custodians, tax agents and auditors on behalf of the Unit Trust, REIT and Collective Investment Scheme clients.

1.4.3 Trustee for Defined Contribution Plan (DCP) /Master Trust
Developed in tandem with the employer, employee, fund managers and other parties, BMT offers full trusteeship services such as fund accounting, registration services and other related trustee services.

1.5 Family Services
1.5.1 Executor / Administrator of Wills
Trust corporations are an alternative to nominating family members or friends as the Executor and Trustee of one’s will. BMT’s experience and expertise to advise and carry out the terms of the will on behalf of the Testator provides professional assistance and relief to family members from the technicalities of petitioning for the Grant of Probate and the distribution of assets.

1.5.2 Trust Services
Trusts are set up pursuant to clients’ needs and requirements. Some of the more common requirements and objectives in setting up trusts are as follows:

i. Maintenance, Advancement &/or Educational Trusts for Minors;
To ensure that the client’s young family members are financially well maintained and funds are available to provide for the care, maintenance, advancement and education of the young family members, Such trusts can also be structured to cater for the physically or mentally challenged individual.
ii. Investment and/or Assets Protector Trusts;
To set aside funds to be managed by the Trustee with the assistance of Financial Advisors to focus on wealth accumulation for the client’s family financial future and/or to segregate funds to fend off exposure and potential risks to protect the client’s hard-earned and valuable assets.
iii. Life Insurance Trusts;
To settle in trust life insurance policy/policies to protect against creditor claims and safeguard funds for the benefit of the beneficiaries of the policy/policies.
iv. Foreign & Non-Resident Trust;
To mitigate tax liabilities through a Singapore wealth management trust.
v. Muslim Trusts;
Trust planning for the Muslin clients to achieve equitable and just distribution of wealth.
vi. Singapore Private Trust Companies;
To set up Private Trust Company/Companies managed and owned by client’s family members to manage the family wealth as an alternative to a traditional trust with the services of a licensed trust corporation undertaking due to compliance issues as required under the Trust Regulations.
vii. Charitable Trusts;
To set aside funds in a trust to assist the less fortunate members of society

1.6 Other Services
1.6.1 Custodial Services
BMT offers custodial services for Accredited / Expert / Institutional Investors and Boutique Fund Mangers of Exempt Funds holding in sage custody the Cash and Securities accounts and discharging the related responsibilities of settlement of trades, dividend collection, advising on requisite corporate action and valuation of assets.

BMT also offers other custodial services including services as custodian of real estate title deeds and property title belonging to clubs, societies and associations.

Ancillary services such as services as escrow agent to hold monies and deposits in corporate transactions and services as process agent are also available.

1.6.2 Administration and Registrar Services
As the Administrator of the fund, BMT provides valuation of assets for the fund liaises with the fund’s custodian and provides subscription and redemption services. As Registrar of the fund, BMT assists in undertaking due diligence issues as required under the Trust Regulations and maintaining the register of investors for the fund.

1.6.3 Agent, Receiver and Administrator of Properties
BMT is among the few trust companies in Singapore with added proficiency in property management. On behalf of the trust clients, BMT administers to matters such as collection of rent, maintenance of property and other aspects of property management.
